These general terms and conditions of sale (hereinafter the «General Terms and Conditions of Sale») are concluded between, on the one hand, the company GPG GRANIT (hereinafter «GPG GRANIT»), a SAS with capital of 40,000 euros, registered in the Rennes Trade and Companies Register under no. 440 494 136 and whose registered office is located at rue Didier Daurat, Z.A.C. Airland 35136 Saint-Jacques-de-la-Lande, and which manages the https://www.gpggranit.com/ website (hereinafter the «Website») and, on the other hand, any individual or legal entity making a purchase from GPG GRANIT (hereinafter the «Purchaser»).
The general terms and conditions of sale define the contractual relationship between GPG GRANIT and the purchaser and the conditions applicable to any purchase made from GPG GRANIT. Any purchase automatically implies the customer's unreserved acceptance of the general terms and conditions of sale, which the purchaser acknowledges having read before purchasing. GPG GRANIT may modify the general terms and conditions of sale at any time, in order to comply with any applicable regulations or to improve the use of its website. The conditions applicable to a transaction are those in force on the date of the purchaser's order.
The products offered are those shown in the catalogue available on the GPG Granit website. The catalogue may be modified at any time. The photographs of the products are as accurate as possible but are not binding on GPG GRANIT.
The prices shown in the catalogue accessible on the website are prices in Euros (€), exclusive of tax (excl. VAT). GPG GRANIT reserves the right to change prices at any time, on the understanding that the price shown on the order form offered to the purchaser is the only price applicable to the purchaser. Prices only become final after acceptance and written confirmation of the order by GPG GRANIT. Quotations are only valid for 1 month from the date of issue. The prices indicated do not include delivery costs, transport insurance, cash on delivery and other costs inherent in the order, which remain the responsibility of the purchaser.
GPG GRANIT and the purchaser determine the terms of payment which are then detailed on the invoices issued. In the event of «cash» payment within 8 days of the date of issue of the invoice, a discount of 2% is granted. Any invoice not paid on the due date shall bear interest at a rate of 1.5% per month, after prior formal notice has been sent to the purchaser. GPG GRANIT, in this case, reserves the right to increase the amount by 10% and a minimum of 20 euros, without prejudice to the late payment interest due. In the event of a dispute, GPG GRANIT will receive, in addition to the costs incurred for enforced collection, compensation of 15% of the sums due, the amount of which may not be less than 150 euros.
Orders are final and unconditional as soon as the purchaser or one of its representatives signs and/or stamps the documents sent by GPG GRANIT. These documents are in particular: the order form, plans and drawings, perspectives. GPG GRANIT may, at its discretion, terminate any registered order if it detects a negative development in customer risk.
Product availability times are given as an indication only. Under no circumstances can GPG Granit be held liable for a delay in delivery. Nor can the purchaser cancel the sale, refuse the products ordered or claim damages on this basis.
All elements of the website remain the exclusive intellectual property of GPG GRANIT. Similarly, the intellectual property rights attached to samples, catalogues, promotions, digital montages or photos supplied by GPG GRANIT remain the property of GPG GRANIT. The materials are defined according to their origin and their colours, but they do not imply the exact reproduction of the tones, shades and veining of the material. In the case of specific projects at the request of the purchaser, other than GPG GRANIT models and Designs, it is the purchaser's responsibility to check that the products which are the subject of the request are not protected by intellectual property rights. GPG GRANIT cannot be held responsible for any infringement of intellectual property rights attached to works presented by the purchaser.
The purchaser, faced with a difficulty with his/her order, submits a written complaint to GPG GRANIT. The complaint must be made within 8 days of the difficulty being discovered, and must include: the order references, the product serial number, photographs and any correspondence. GPG Granit cannot be held responsible for defects in the material, damage caused by frost, saltpetre, differences in colour, rust, cracks or any other defect. These elements cannot give rise to cancellation of the sales contract, refusal of the product on receipt, or a reduction in the price agreed in the order form or invoice issued by GPG GRANIT. However, the presence of open wires noted at the time of delivery may give rise to the replacement of the part concerned, to the exclusion of any other compensation. If this thread appears after the product has been installed, GPG GRANIT accepts no liability: natural rock can react to atmospheric conditions. GPG GRANIT is also not liable for any costs associated with the immobilisation or unavailability of defective products. The possibility of a problem occurring before the product has been paid for in full may under no circumstances be used as a pretext for cancelling the order or for a delay in payment.
GPG GRANIT retains full and complete ownership of the products sold until full payment has been received, in principal, costs and taxes included.
The purchaser bears all the risks associated with the transport of the products. In the case of delivery by a carrier, the purchaser shall check the good condition of the products on receipt, in accordance with the legal terms, forms and deadlines. The buyer alone is entitled to formulate reasoned reservations on the consignment note in the event of any anomaly, damage, defect or discrepancy. The purchaser has 48 hours to confirm his/her reservations with the carrier by registered letter with acknowledgement of receipt, a copy of which must be sent to GPG GRANIT. Replacements are made by us after express agreement to take charge by the carrier.
GPG GRANIT does not accept any returns or trade-ins under the terms of our guarantee clause without prior authorisation.
The general terms and conditions of sale are governed by French law. For all disputes and litigation, the competent court is that of Rennes.
